Music Millennium is a business incorporated in Oregon that operates mostly in Portland, Oregon. It opened its first retail outlet under the name "Music Millennium" in 1969. By 1998, it had two retail music stores in Portland and sold products through mail and telephone orders and its Internet Web site.
Millenniiun Music, Inc., is a South Carolina corporation and general partner of defendant Millennium Music, L.P., a South Carolina limited partnership ("LP"). It operates retail music stores in South Carolina under the name "Millennium Music" and sells products through its retail outlets and its Internet Web site, although the vast majority of sales occur at its retail stores. From March 1998 through September 1998, the LP sold fifteen compact discs to nine separate customers in six states and one foreign country. The sales totaled approximately $225. During the same period, its retail sales were $2,180,000. LP offers franchising circulars through the Internet and has two franchised stores in North Carolina.
LP also purchased a small number of compact discs from Allegro Corporation, a distributor located in Portland, Oregon. Total purchases from Allegro in 1994-1997 totaled approximately one-half of one percent of inventory purchases for those years.
In July 1998, Oregon MM received a credit document from Allegro. The credit was mailed to Oregon MM in error; the document apparently was intended for LP. In August 1998, an Oregon resident, Linda Lufkin, purchased a compact disc from LP through its Web site. An attorney at the law firm for which Ms. Lufkin works requested that she purchase a compact disc from LP. Apparently, the attorney is an acquaintance of Oregon MM's counsel.
Oregon MM filed suit against LP in Oregon for its use of the name "Millennium Music." LP says it cannot be forced to come to Oregon to defend the suit. Is LP correct? [ Millennium Enterprises, Inc. v Millennium Music, LP, 33 F.Supp.2d 907 (D.Or. 1999)]
