Contract Liability G. Elvin Grinder of Marbury, Maryland, was a building contractor who, for years, did business as an individual and traded as "Grinder Construction." Grinder maintained an open account on his individual credit with Bryans Road Building Supply Co., Inc. Grinder would purchase materials and supplies from Bryans on credit and later pay the invoices. G. Elvin Grinder Construction, Inc., a Maryland corporation, was formed, with Grinder personally owning 52 percent of the stock of the corporation. Grinder did not inform Bryans that he had incorporated, and he continued to purchase supplies on credit from Bryans under the name "Grinder Construction." Five years later, after certain invoices were not paid by Grinder, Bryans sued Grinder personally to recover. Grinder asserted that the debts were owed by the corporation. Bryans amended its complaint to include the corporation as a defendant. Who is liable to Bryans? Grinder v. Bryans Road Building Supply Co , Inc., 290 Md. 687, 432 A.2d 453, Web 1981 Md. Lexis 246 (Court of Appeals of Maryland)
