As is the case with the dissolution of a partnership, the dissolution of an LLC need not be followed by a winding up of the LLC. If all of the remaining members of the LLC want to continue the LLC, they may do so. Moreover, the operating agreement may specify that the vote to continue need not be unanimous among the remaining members. The operating agreement should also indicate that the LLC will dissolve when the number of members within the LLC falls below the number required by state law.
